Can S-1's 23% Share Cancellation Sustain a Valuation Rerating?

S-1 plans to cancel nearly 23% of its issued shares through an existing treasury-stock retirement and a KRW 450 billion tender offer. The real EPS benefit is closer to 15.5% before lost interest income, making earnings recovery central to a lasting rerating.

Summary

S-1 Corporation (012750.KS) has announced an unusually large shareholder-return program, combining the cancellation of 4.19 million existing treasury shares with a KRW 450 billion tender offer for another 4.55 million shares.

The combined quantity represents approximately 23% of issued shares.

The announcement drove a 13.89% share-price increase on October 15, despite a 7.57% decline in the KOSPI.

Yet the economic impact is smaller than the headline suggests.

Existing treasury shares are already excluded from reported EPS. The newly acquired shares would produce approximately 15.5% mechanical EPS accretion if earnings remain unchanged, before accounting for the income lost on the cash used.

Meanwhile, S-1's Q3 operating profit recovered 5.3% year over year, but nine-month operating profit remained down 15.8%.

The investment case rests on whether more disciplined capital allocation and recovering earnings can support a sustained valuation premium.

Key Takeaways

What Happened

On October 14, S-1 announced a major capital-allocation and shareholder-return initiative.

The program includes two components.

The first is the planned cancellation of 4,188,939 existing treasury shares, representing 11.02% of issued shares. The company targets November, subject to a separate board resolution.

The second is a tender offer for up to 4,545,454 shares, representing another 11.96%.

The tender price is KRW 99,000 per share, with a maximum consideration of approximately KRW 450 billion.

The offer runs from October 15 to November 3, with settlement scheduled for November 5. Acquired shares are intended to be canceled within one year.

S-1 also announced a 50–60% consolidated net-income dividend payout policy for 2026–2028 and a medium-term ROE objective of 13–15%.

On October 15, its shares rose 13.89% while the KOSPI fell 7.57%. The stock closed at KRW 97,500 on October 16.

Why It Matters

The central distinction is between issued shares and shares used to calculate EPS.

S-1 had 37.999 million issued shares before the announcement, including 4.189 million already held in treasury.

Its 2025 financial statements used 33.810 million weighted-average outstanding shares for EPS, excluding those treasury shares.

Their cancellation therefore does not independently increase reported EPS.

A fully completed tender would reduce the current outstanding share base from approximately 33.81 million to 29.26 million.

At unchanged net income, that implies approximately 15.5% EPS accretion.

But the repurchase also consumes nearly KRW 450 billion in cash.

S-1 reported approximately KRW 888.8 billion in cash and short-term financial assets at the end of H1 2026. A fully subscribed tender would absorb roughly half that historical balance.

The transaction increases capital efficiency while reducing the liquid assets supporting investment income and future flexibility.

That trade-off, rather than the 23% cancellation headline alone, should determine the valuation response.

Korea Alpha View

S-1's capital-return program is a meaningful shift from holding substantial excess liquidity toward improving shareholder returns. The planned cancellation removes a longstanding treasury-share overhang, while the new tender directly reduces the economic share base.

However, the rerating should be measured against actual EPS accretion and the capital consumed. A lower share count can improve per-share earnings, but it does not resolve operating cost pressure or guarantee higher business profitability.

The strongest investment case combines successful repurchase execution, disciplined cash deployment and a recovery in operating margins. Without those elements, the announcement risks becoming a one-time valuation event rather than a durable improvement in shareholder value.
